These Terms of Service (“Terms”) govern your access to and use of theaiworkshop.studio, including the website, educational content, assessments, tools, resources, reports, community features, accounts, and other products or services made available through or in connection with the website.

The AI Workshop is operated by Eastern Blue Trading Company LLC (“The AI Workshop,”

“we,” “us,” or “our”).

Please read these Terms carefully.

By accessing or using the website or services covered by these Terms, you agree to these Terms to the extent permitted by applicable law.

If you do not agree with these Terms, please do not use the applicable website or services.

1. About The AI Workshop

The AI Workshop is a media and education brand focused on practical topics that may include:

5. Artificial Intelligence and Automated Systems

Artificial intelligence, automation, and related technologies are important parts of The AI Workshop.

We may use AI or automated systems to:

- assist with educational content;

- identify potential patterns or bottlenecks;

- create summaries;

- generate recommendations;

- generate personalized reports;

- produce Problem to System Blueprints;

- assist with workflows;

AI Is Not Infallible

Artificial intelligence can make mistakes.

AI-generated or AI-assisted material may:

- contain factual errors;

- contain outdated information;

- omit relevant information;

- misunderstand your input;

- misunderstand context;

- make incorrect assumptions;

- produce incomplete recommendations; or

- generate an output that is inappropriate for your particular circumstances.

We do not guarantee that AI-generated or AI-assisted content will be accurate, complete, current, useful, or appropriate for any particular purpose.

You should independently review important information before relying on it.

Your Responsibility

You remain responsible for decisions you make based on AI-generated or AI-assisted material.

Do not rely solely on an AI output when a decision requires professional judgment, legal compliance, financial analysis, cybersecurity expertise, medical expertise, or another specialized professional evaluation.

When appropriate, have qualified professionals review important decisions before implementing them.

6. Problem to System Blueprint

The AI Workshop may provide an assessment or educational resource known as the Problem to System Blueprint.

The Blueprint may ask you to provide information about yourself, your business, challenges, goals, processes, technology, resources, operations, or other matters.

Your responses may be processed using AI, automation, software, human review, or a combination of these methods.

The resulting Blueprint may contain:

- observations;

- educational recommendations;

- possible opportunities;

- potential bottlenecks;

- suggested workflows;

- suggested systems;

- summaries;

- possible next steps; or

- other personalized educational information.

No Guarantee of Accuracy or Results

A Problem to System Blueprint is an educational resource.

It is not a guarantee that:

- every problem has been identified;

- every recommendation is correct;

- every recommendation should be implemented;

- an identified system will work for your particular business;

- implementing a recommendation will generate revenue;

- implementing a recommendation will reduce costs;

- implementing a recommendation will improve profitability;

- implementing a recommendation will improve business performance; or

- you will achieve any particular result.

You are responsible for reviewing the Blueprint, deciding whether its recommendations make sense for your circumstances, and obtaining additional professional advice when appropriate.

7. Information and Materials You Submit

You are responsible for information, materials, documents, files, data, responses, and other content you submit through The AI Workshop.

You agree not to knowingly submit information that:

- you do not have the legal right to provide;

- violates another person's privacy rights;

- violates intellectual-property rights;

- is unlawful;

- contains malicious code;

- is intentionally deceptive or fraudulent; or

- would cause us to violate applicable law merely by receiving or processing it.

If you provide information concerning employees, customers, contractors, partners, or other third parties, you are responsible for having any rights, notices, permissions, or consents required to provide that information.

Sensitive Information

Unless specifically requested and necessary for a particular service, please do not submit highly sensitive information such as:

- Social Security numbers;

- government identification numbers;

- passwords;

- private authentication credentials;

- complete banking credentials;

- complete payment-card information;

- protected health information; or

- other highly sensitive personal information.

Confidential Business Information

You may choose to provide information concerning your business through assessments or other features.

We will handle personal information according to our Privacy Policy and will use reasonable safeguards as described there.

However, submitting information through the website does not, by itself, create a nondisclosure agreement or other special confidentiality agreement between you and The AI Workshop.

If information requires contractual confidentiality beyond our ordinary privacy and security practices, a separate written agreement should be established before that information is submitted.

8. Accounts

If and when user accounts are made available, you agree to provide reasonably accurate and current information.

You are responsible for:

- maintaining the confidentiality of your login credentials;

- activities conducted through your account;

- using reasonable security measures;

- promptly notifying us of suspected unauthorized access; and

- keeping important account information reasonably current.

You may not intentionally create an account using another person's identity without authorization.

We may establish additional account rules when account features are introduced.

9. Community Features and User Participation

If and when we offer comments, forums, groups, communities, discussions, public profiles, uploads, or similar participation features, users are expected to interact lawfully and respectfully.

You may not use these features to:

- threaten, harass, stalk, or abuse another person;

- promote unlawful discrimination or unlawful conduct;

- impersonate another person or organization;

- knowingly publish materially fraudulent or deceptive content;

- distribute spam or unauthorized commercial solicitations;

- infringe copyrights, trademarks, privacy rights, publicity rights, or other legal rights;

- distribute malware, viruses, malicious code, or harmful files;

- attempt to obtain unauthorized access to another user's account;

- disclose another person's sensitive personal information without authorization;

- facilitate illegal activity;

- interfere with the normal operation of the community or website; or

- otherwise violate these Terms.

We may establish more detailed community guidelines if these features are introduced.

10. User-Generated Content

You retain ownership of the original intellectual property rights you hold in content you create and submit.

Submitting content to The AI Workshop does not automatically transfer ownership of your original intellectual property to us.

Private Submissions

When you privately submit information for an assessment, Blueprint, support

request, or similar feature, you give us the rights reasonably necessary to:

- receive the information;

- store it;

- process it;

- analyze it;

- use service providers to process it;

- generate the requested output; and

- provide the applicable service.

These rights are limited by our Privacy Policy and applicable law.

Public or Community Content

If you choose to publish content through a public or shared community feature, you grant The AI Workshop a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, technically modify, and otherwise use that content as reasonably necessary to operate, display, promote, moderate,

and improve the feature through which you submitted it.

This license does not transfer ownership of your original content to us.

The license generally continues while the content remains available through our services and for a reasonable period afterward for backups, archives, legal compliance, or technical operations.

Content shared publicly may also be copied, saved, or redistributed by other users outside our control.

Do not publicly post information that you do not want others to see or retain.

11. Moderation and Removal of Content

If community or user-generated-content features are made available, we may moderate them.

To the extent permitted by law, we may:

- review submitted content;

- refuse publication;

- remove content;

- restrict visibility;

- close discussions;

- suspend features;

- suspend accounts; or

- terminate accounts

when we reasonably believe doing so is necessary to enforce these Terms, protect users, comply with law, protect the website, or maintain the community.

We are not required to monitor every user submission before it is published.

Our decision not to remove particular content does not mean we endorse it.

12. Acceptable Use

You may use The AI Workshop only for lawful purposes and in accordance with these Terms.

You may not:

- attempt to gain unauthorized access to the website, servers, accounts, or systems;

- bypass security or access controls;

- deliberately disrupt or overload the website;

- introduce malware or harmful code;

- conduct unauthorized security testing;

- scrape, crawl, harvest, or systematically extract content except as permitted by law or with our written permission;

- use automated systems to reproduce substantial portions of our content without permission;

- use our proprietary content or materials to train, fine-tune, or build commercial AI systems or datasets without authorization;

- remove copyright, trademark, or proprietary notices;

- falsely imply affiliation with or endorsement by The AI Workshop;

- use the website for fraudulent or unlawful purposes;

- interfere with another person's use of the website; or

- assist another person in doing any of these things.

Reasonable use by ordinary search engines and other services that we have authorized is not prohibited by this section.

13. The AI Workshop Intellectual Property

Unless otherwise stated, The AI Workshop or its licensors own or have applicable rights to the intellectual property associated with The AI Workshop, including:

- the brand name;

- trademarks;

- logos;

- website design;

- written content;

- videos;

- graphics;

- assessments;

- frameworks;

- methodologies;

- Problem to System Blueprint methodology;

- templates;

- downloadable resources;

- courses;

- educational materials;

- proprietary systems; and

- original media.

Nothing in these Terms transfers ownership of this intellectual property to you.

14. Limited License to Use Our Materials

Unless we specifically state otherwise, we give you a limited, revocable, non-exclusive, non-transferable license to access and use our publicly available materials for your own lawful personal or internal business purposes.

This permission does not give you the right to:

- resell our materials;

- commercially redistribute them;

- republish substantial portions of them;

- create unauthorized commercial copies;

- remove intellectual-property notices;

- represent our materials as your own;

- license them to others;

- create a competing content library by systematically copying our materials; or

use them in ways that violate these Terms.

Separate license terms may apply to particular templates, downloads, courses, software resources, or paid products.

15. Copyright and Intellectual-Property Complaints

We respect intellectual-property rights.

If you believe content available through The AI Workshop infringes rights that you own or are authorized to enforce, contact:

Please provide enough information for us to identify and evaluate the complaint, including where reasonably applicable:

- identification of the protected work or right;

- identification of the material you believe is infringing;

- the location of the material;

- your contact information;

- the basis for your claim; and

We may request additional information where necessary.

Nothing in this section prevents a rights holder from using any formal legal notice procedure available under applicable law.

16. Third-Party Content, Links, and Services

The website may contain links to, embeds from, or integrations with third-party websites and services.

These may include services operated by:

- Google;

- YouTube;

- Facebook;

- Instagram;

- TikTok;

- LinkedIn;

- CRM providers;

- form providers;

- scheduling providers;

- analytics providers;

- AI providers;

Third-party services are independently operated.

- their terms;

Your interaction with a third-party service may be governed by that provider's own terms and privacy policies.

A link, integration, reference, or recommendation does not automatically mean that we control or guarantee the third party.

17. Referrals and Related Businesses

The AI Workshop may introduce, recommend, or refer users to other companies, service providers, software products, professionals, or businesses.

Some of these relationships may involve:

- affiliate compensation;

- referral fees;

- shared commercial interests;

- sponsorships;

- paid partnerships;

- advertising relationships; or

- other financial arrangements.

CMND.Click

The AI Workshop may refer appropriate home-service companies to CMND.Click for services involving matters such as strategy, marketing, implementation, automation, systems, growth infrastructure, or related business services.

The AI Workshop and CMND.Click are distinct brands.

A commercial relationship or financial interest may exist in referrals between The AI Workshop and CMND.Click or other related businesses.

You are free to decide whether to contact, hire, purchase from, or otherwise engage with any company or provider we mention or recommend.

A referral does not guarantee the quality, suitability, availability, or results of a third party's services.

18. Affiliate Links, Sponsorships, and Advertising

The AI Workshop may eventually earn revenue through:

- affiliate links;

- referral arrangements;

- sponsorships;

- advertisements;

- paid partnerships;

- software recommendations;

- tool recommendations; or

- other commercial relationships.

When appropriate or legally required, we will disclose material commercial

relationships.

The existence of compensation does not create a guarantee that a particular

product or service will meet your needs.

You are responsible for evaluating products, software, services, and providers before purchasing or relying on them.

19. Testimonials, Case Studies, and Examples

The website may contain:

- other products and services.

Those offerings may have their own:

- pricing;

We will present applicable additional terms when those offerings are introduced.

These general Terms do not create a refund, cancellation, or subscription policy for products that do not yet exist.

If you request information, complete an assessment, create an account, make a purchase in the future, or otherwise interact with us, we may send communications reasonably related to that interaction.

These may include:

- confirmation messages;

- requested resources;

- Blueprint communications;

- security notices;

- administrative communications;

- account messages; and

- other transactional communications.

If you separately subscribe or otherwise consent to receive marketing communications, we may also send:

- newsletters;

- educational updates;

- promotional communications;

- product announcements; or

- service announcements.

You may unsubscribe from marketing emails using the unsubscribe method provided in the message or by contacting us.

Unsubscribing from marketing does not necessarily stop transactional, security, administrative, or other non-promotional messages that are reasonably necessary.

22. Website Availability

We work to make The AI Workshop useful and accessible, but we cannot promise uninterrupted availability.

The website or any feature may occasionally experience:

- downtime;

- maintenance;

- errors;

- bugs;

- interruptions;

- third-party failures;

- data transmission problems; or

- other technical issues.

We may also:

- update the website;

- modify features;

- add features;

- remove features;

- limit access;

- change content;

- discontinue services; or

- change how services operate.

To the extent permitted by applicable law, we are not responsible merely because a particular feature becomes unavailable or changes.

23. No Guarantee That Content Will Remain Available

Content, resources, tools, reports, community posts, downloads, or other materials may be changed or removed.

You should maintain your own copies of information that is important to you where permitted.

We do not promise that particular content or user-submitted information will remain available indefinitely.

24. Disclaimer of Warranties

To the fullest extent permitted by applicable law, The AI Workshop website, content, tools, reports, assessments, resources, and services are provided on an “as is” and “as available” basis.

We do not make warranties or guarantees that:

- the website will always be available;

- the website will be error-free;

- all information will be accurate;

- all information will be complete;

- all information will remain current;

- every AI output will be correct;

- every recommendation will be appropriate;

- every third-party service will function properly;

- the website will meet every user's expectations; or

- use of the website will produce a particular business or financial result.

To the extent permitted by law, we disclaim implied warranties including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by applicable law.

25. Your Business Decisions

You are responsible for your own business decisions.

This includes decisions involving:

- hiring;

- employment;

- finances;

- artificial intelligence;

- cybersecurity;

- customer communication;

- operations;

- business strategy; and

- implementation of recommendations.

Before making a material decision, you should independently evaluate relevant information and seek professional advice when appropriate.

The fact that The AI Workshop provides information, an assessment, an AI-generated recommendation, or a Blueprint does not transfer responsibility for your decisions to us.

26. Limitation of Liability

To the fullest extent permitted by applicable law, The AI Workshop, Eastern Blue Trading Company LLC, and their applicable owners, officers, employees, contractors, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the website or services.

This may include, where permitted by law:

- lost profits;

- lost revenue;

- lost business opportunities;

- loss of data;

- business interruption;

- loss of goodwill; or

- costs arising from decisions made based on website content or AI-generated materials.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the website, these Terms, or an applicable service will not exceed the greater of:

(a) the amount you actually paid directly to The AI Workshop for the specific product or service giving rise to the claim during the 12 months before the event giving rise to the claim; or

(b) $100.

These limitations do not apply where applicable law prohibits them.

Nothing in these Terms is intended to exclude or limit liability that legally cannot be excluded or limited.

27. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless The AI Workshop, Eastern Blue Trading Company LLC, and their applicable owners, officers, employees, contractors, affiliates, and representatives from third-party claims, liabilities, losses, damages, and reasonable costs arising from:

- your unlawful use of the website;

- your material violation of these Terms;

- content you submit;

- your infringement of another person's rights; or

- information you provide without having the necessary rights or authority.

This obligation does not require you to indemnify us for liability caused by our own conduct where doing so would be prohibited by applicable law.

We reserve the right to participate in the defense of a covered claim.

28. Suspension and Termination

We may restrict, suspend, or terminate access to an account, community feature, service, or other restricted portion of the website if we reasonably believe that:

- these Terms have been materially violated;

- the website is being abused;

- unlawful activity is occurring;

- another person's rights are being violated;

- security is threatened;

- payment obligations for a future paid offering have not been satisfied; or

- suspension is reasonably necessary to protect The AI Workshop, its users, or third parties.

Where reasonable under the circumstances, we may provide notice or an opportunity to correct the issue.

Nothing in this section requires us to continue operating any service indefinitely.

29. Force Majeure

To the extent permitted by applicable law, we are not responsible for delays or failures caused by circumstances beyond our reasonable control.

These may include:

- natural disasters;

- severe weather;

- fire;

- flood;

- war;

- terrorism;

- civil unrest;

- government action;

- labor disruptions;

- widespread internet failures;

- telecommunications failures;

- power outages;

- cyberattacks;

- third-party platform outages;

- major cloud-service failures; or

- other events outside our reasonable control.

30. Resolving Concerns Informally

We prefer to resolve legitimate concerns directly whenever reasonably possible.

Before filing a lawsuit concerning these Terms or your use of The AI Workshop, you and The AI Workshop agree, to the extent permitted by applicable law, to first make a good-faith effort to resolve the dispute informally.

A notice to The AI Workshop should be sent to:

The notice should reasonably describe:

- who you are;

- the nature of the dispute;

- the relevant facts;

- the result or remedy you are requesting; and

- information reasonably necessary for us to respond.

We will likewise make a reasonable effort to provide notice if we initiate a claim against you and have appropriate contact information.

The parties will have 30 days after receipt of a written dispute notice to attempt an informal resolution before either party begins ordinary court proceedings.

The parties may agree to extend this period.

This informal process does not prevent either party from seeking temporary or emergency court relief when reasonably necessary to prevent immediate harm, protect intellectual property, preserve legal rights, or address an urgent security matter.

31. No Mandatory Arbitration Requirement

These Terms do not currently require mandatory arbitration.

They also do not contain a contractual class-action waiver.

If we consider adding mandatory arbitration or another substantially different dispute-resolution system in the future, the provision should be separately reviewed for legal compliance and fairness before implementation.

Any future change will apply only as permitted by applicable law and according to the notice requirements applicable at that time.

32. Governing Law

To the extent permitted by applicable law, these Terms and disputes arising from them are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law principles that would require applying another jurisdiction's law.

Nothing in this provision is intended to deprive a consumer of non-waivable rights provided by the law of the jurisdiction where that consumer resides when those rights legally apply.

33. Court Proceedings and Venue

If a dispute cannot be resolved through the informal process described above, either party may pursue available remedies in court.

To the extent permitted by applicable law, any court proceeding arising out of or relating to these Terms, the website, or services covered by these Terms must be brought in a state or federal court of competent jurisdiction located in Missouri, United States.

You and The AI Workshop consent to the personal jurisdiction of those courts to the extent legally permitted.

This provision does not prevent either party from seeking temporary or emergency injunctive relief in another appropriate jurisdiction when reasonably necessary to prevent immediate harm or protect legal rights.

Any mandatory consumer-protection or venue rights that cannot legally be waived remain unaffected.

34. Changes to These Terms

We may update these Terms from time to time to reflect changes in:

- the website;

- our services;

- technology;

- legal requirements;

- business practices; or

- the products and features we offer.

When we update the Terms, we will change the Last Updated date at the top.

Changes will generally apply prospectively.

If a change is material and applicable law requires additional notice or consent, we will provide the required notice or obtain the required consent.

Your continued use of applicable services after updated Terms become effective may constitute acceptance where permitted by law.

35. Severability

If a court determines that part of these Terms is invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permitted or severed if necessary.

The remainder of the Terms will continue in effect unless applicable law requires otherwise.

36. No Waiver

If we do not immediately enforce a provision of these Terms, that does not automatically mean we waive our right to enforce it later.

A waiver of one provision or violation does not automatically waive another provision or future violation.

37. Assignment

You may not transfer your rights or obligations under these Terms in a manner that would materially affect us without our consent.

We may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, restructuring, or similar business transaction, subject to applicable law.

38. No Agency, Partnership, or Fiduciary Relationship

Using The AI Workshop does not, by itself, create a:

- partnership;

- joint venture;

- employment relationship;

- agency relationship;

- fiduciary relationship; or

- professional-client relationship

between you and The AI Workshop.

A separate written agreement may create a different relationship for a particular paid service or engagement.

39. Entire Agreement

These Terms, together with any policies or additional terms expressly incorporated into them, form the agreement between you and The AI Workshop concerning the matters they cover.

They replace prior understandings concerning those same matters unless a separate written agreement specifically states otherwise.

A separate agreement for consulting, a paid product, membership, software service, event, or another specific offering may contain additional or different

terms.
